KAE Travel Suite Terms of Service

1. The Services and who provides them

The Services are provided by KEANEM Technology, LLC, based in South Carolina, United States. They include:

• KAE Travel Suite, business software for travel advisors and agencies;
• KAE Intelligence, an optional business-assistance layer within KAE Travel Suite for participating advisors;
• KAE Travel Advisor Discovery ("Discovery"), which helps travelers find travel advisors, directly or through compatible third-party AI platforms; and
• the KAE website and its request, review and support forms.

Advisors and agencies with a paid KAE Travel Suite subscription may also be bound by a separate subscriber agreement and acceptable use policy. If those documents conflict with these Terms, the separate agreement controls for that subscription.

KEANEM is a technology company. KEANEM is not a travel agency, tour operator or travel supplier, and does not sell, book or fulfill travel through Discovery.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you confirm that you are authorized to accept these Terms for that business. Advisor and agency features are intended for business use.

3. KAE Travel Advisor Discovery

Discovery helps travelers find travel advisors based on information those advisors provide about their professional expertise, such as destinations, specialties, client types and travel types. Results depend on the information available and the criteria provided, and may be incomplete. Discovery does not guarantee that any advisor is the best fit for you, and it does not guarantee that any advisor will receive leads, placement or visibility.

Match explanations are generated from structured advisor information and are not endorsements or guarantees of an advisor's quality or results.

4. No booking is created by using Discovery

Searching for or viewing advisors does not create a booking, reservation, quote or contract, and does not send your contact information to an advisor.

A quote request or travel inquiry is a request to be contacted by the selected advisor. It is not a booking, a guaranteed price or availability, or a contract for travel. Any booking happens directly between you and the advisor or supplier, under their terms.

5. Quote requests and inquiries

If you submit a quote request or inquiry, you agree to provide accurate information and confirm that you want the advisor to contact you. You must not submit an inquiry for someone else without their permission. Advisors may contact you using the details you provide. You are under no obligation to book.

6. Independent travel advisors

Travel advisors listed through Discovery or using KAE Travel Suite are independent businesses, or are affiliated with their own host agencies. They are not employees or agents of KEANEM. Each advisor is responsible for their own services, recommendations, communications, pricing, licensing and regulatory obligations, including any seller-of-travel requirements that apply to them.

KEANEM does not endorse or guarantee any advisor. Verification, specialty-review or training labels reflect only the specific checks described with them and are not a guarantee of an advisor's performance.

7. Advisor profiles

Advisors are responsible for the accuracy of the profile and specialty information they provide, and must keep it truthful, current and not misleading. Advisors may only claim specialties, credentials and experience they actually have. KEANEM may review, edit how profile information is displayed, limit or remove profiles, or pause Discovery participation to protect travelers and the integrity of the Services.

8. Travel suppliers

Cruise lines, resorts, airlines, tour operators and other travel suppliers provide the actual travel services. Their terms, conditions, cancellation rules, fees and policies govern your travel. KEANEM is not responsible for any supplier's services, acts or omissions.

9. Pricing and availability

Travel prices, promotions and availability are set by suppliers, change frequently and are not guaranteed until confirmed by your advisor or the supplier.

KAE subscription prices are published on the KAE website and may change. Submitting a founding access or other request form does not create an account or a charge. Subscription fees, if any, apply only under the terms you agree to when you subscribe.

10. Travel documentation

Travelers are responsible for their own passports, visas, entry and health requirements, travel insurance decisions and other travel documentation. Information shared through the Services is not a substitute for checking official requirements.

11. AI limitations

Some Services use artificial intelligence, including when Discovery is used through AI platforms and within KAE Intelligence. AI-generated content can be inaccurate, incomplete or out of date. Review it carefully and do not rely on it as the sole basis for important decisions. AI platforms that connect to KAE are operated by third parties and decide for themselves how to present information to you.

12. KAE Intelligence

KAE Intelligence may provide AI-assisted organization, planning, prioritization, business insights, recommendations, workflow assistance and related advisor-support functionality. Features currently include measurements of an advisor's sales funnel compared with that advisor's own past results, identification of stages that may deserve review, suggested business experiments that an advisor may choose to accept and track, summaries of the advisor's own business records, and AI-written explanations of those measurements. Access is limited to participating advisors, and features may be introduced gradually, labeled beta or in development, changed or removed.

AI recommendations are informational and may contain mistakes. Advisors remain responsible for:

• business decisions;
• client communications;
• travel recommendations;
• pricing;
• regulatory obligations;
• tax and accounting decisions; and
• contractual obligations.

KAE Intelligence is not legal, accounting, financial, tax, medical or other regulated professional advice. KAE Intelligence does not take actions on your behalf, such as contacting clients or changing bookings. You decide whether and how to act on any suggestion.

13. Accounts and security

You are responsible for keeping your login credentials confidential and for activity under your account. Tell us promptly at support@kaetravelsuite.com if you believe your account has been accessed without permission. Never share your password with anyone, including KAE support.

14. Acceptable use

You must not:

• use the Services in violation of law or the rights of others;
• submit false inquiries, false consent or inaccurate information;
• impersonate any person or misrepresent your affiliation, credentials or experience;
• attempt to access accounts, data or advisor records you are not authorized to access, including by using AI tools to extract private information;
• scrape, harvest or bulk-download data from the Services;
• bypass or interfere with security, rate limits or access controls;
• reverse engineer the Services except where the law allows;
• send spam or unsolicited messages to advisors or travelers; or
• upload malicious code or content that is unlawful, abusive or infringing.

15. Your content

You keep ownership of the content you submit, such as profile information, business records, inquiries and reviews. You give KEANEM a non-exclusive license to host, store, process, display and transmit that content as needed to provide and improve the Services and, for reviews and public profiles, to publish them as described when you submitted them. You confirm you have the rights needed to provide the content.

16. Intellectual property

The Services, including the KAE software, KAE name and logo, website content, design and coaching methodology, are owned by KEANEM or its licensors and are protected by intellectual property laws. These Terms do not give you any right to use KEANEM's trademarks or to copy the Services except as needed to use them normally.

17. Feedback

If you send us ideas, suggestions or feedback, we may use them without any obligation to you.

18. Third-party platforms and services

The Services may be accessed through, or link to, third-party platforms and services, including AI platforms such as ChatGPT, travel supplier websites and payment services. Those services are governed by their own terms and privacy policies. KEANEM is not responsible for third-party services, and their availability may change.

19. Privacy

Our Privacy Policy explains how we collect, use and share information. By using the Services, you acknowledge that your information will be handled as described there.

20. Service availability and changes

We work to keep the Services available, but we do not guarantee that they will be uninterrupted, error-free or available at any particular time. We may add, change, suspend or discontinue features, including features labeled beta, in development or coming soon.

21. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. KEANEM does not warrant the accuracy of advisor information, AI-generated content, supplier information or travel pricing.

22. Limitation of liability

To the fullest extent permitted by law, KEANEM and its owners, employees and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the Services, travel services, advisors, suppliers or AI-generated content.

To the fullest extent permitted by law, KEANEM's total liability for all claims relating to the Services will not exceed the greater of the amount you paid KEANEM for the Services in the 12 months before the claim arose or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

23. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless KEANEM and its owners, employees and service providers from claims, losses and expenses, including reasonable attorneys' fees, arising from your use of the Services, your content, your violation of these Terms or your violation of the rights of others.

24. Suspension and termination

We may suspend or end your access to the Services, remove content or pause Discovery participation if we reasonably believe you have violated these Terms, created risk for other users or KEANEM, or if required by law. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

25. Governing law

These Terms are governed by the laws of the State of South Carolina, United States, without regard to its conflict-of-law rules. Subject to any separate written agreement between you and KEANEM that provides otherwise, disputes relating to these Terms or the Services will be resolved in the state or federal courts located in South Carolina, and you consent to their jurisdiction.

26. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and change the effective date above. If changes are material, we will take reasonable steps to let affected users know. Continuing to use the Services after the updated Terms take effect means you accept them.

27. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a corporate transaction. These Terms, together with any separate written agreement that applies to you, are the entire agreement between you and KEANEM about the Services.
